On September 9, 2026, NVIDIA announced that it has entered into a definitive merger agreement to acquire Hugging Face, the preeminent collaboration platform and model hub for machine learning developers, for an aggregate enterprise value of $12.93 billion.
The acquisition represents the largest software transaction in NVIDIA's history. Under the terms of the agreement, approved unanimously by the boards of directors of both companies, NVIDIA will pay $11.93 billion in cash and NVIDIA common stock, alongside establishing a dedicated $1.0 billion unvested equity retention pool to preserve Hugging Face's foundational engineering, research, and developer-relations staff over the next four years.
Founded in 2016 by Clément Delangue, Julien Chaumond, and Thomas Wolf, Hugging Face grew from an open-source chatbot library into the de facto GitHub of the artificial intelligence revolution. Today, the platform hosts more than 1.8 million publicly accessible AI models, 400,000 datasets, and over 250,000 Spaces applications, powering model evaluation, fine-tuning, and inference pipelines for millions of engineers across the Fortune 500 and global research universities.
To preempt immediate antitrust opposition and preserve developer trust, NVIDIA and Hugging Face unveiled a binding Operational Independence Charter. Under the charter, Hugging Face will operate as an independent business unit. The platform's core open-source libraries—including Transformers, PEFT, Accelerate, Datasets, and Text Generation Inference (TGI)—will remain permissively licensed under Apache 2.0. Furthermore, NVIDIA has contractually guaranteed multi-cloud and multi-hardware parity, ensuring that optimizations for competing silicon architectures such as AMD ROCm, Intel Gaudi, Google Cloud TPU, and AWS Trainium continue to receive first-class upstream support.
Nonetheless, the strategic advantages for NVIDIA's ecosystem are immense. The acquisition allows NVIDIA to deeply integrate its TensorRT-LLM compilation stack, Triton Inference Server, and NeMo microservices directly into the default download workflows of the Hugging Face Hub. Developers deploying models from Hugging Face will benefit from instantaneous, hardware-specific kernel auto-tuning for Blackwell, Rubin, and DGX Cloud clusters, dramatically lowering the friction of running open-weights models on NVIDIA hardware.
Global regulatory bodies, including the US Federal Trade Commission (FTC) and the European Commission Directorate-General for Competition, are expected to scrutinize the transaction rigorously under horizontal and vertical merger guidelines. The closing of the acquisition is projected for the first quarter of 2027, subject to customary regulatory approvals and closing conditions.
